(NYSE: MEI) is under the spotlight amid a class action lawsuit filed in the United States District Court for the Northern District of Illinois against the company and former executives for allegedly engaging in securities fraud. The action, Marie Salem v. Methode Electronics Inc., et al., impacts investors who purchased or acquired shares of Methode Electronics between June 23, 2022, and Mar. 6, 2024. Methode is a Chicago-based designer and manufacturer of custom-engineered parts used in transportation, cloud computing infrastructure, construction, consumer appliances and medical devices. Most of its revenue is derived from its automotive segment, which had reportedly been humming along until 2020. With car manufacturers using fewer designs featuring buttons and knobs, favoring display screens and infotainment, Methode shifted its focus. Methode opted to move away from its low-mix but high-margin parts business into specialized components targeted at electric vehicle manufacturers instead of traditional car companies, which appeared to promise to bring higher margins and more sales – but that transition proved to be rocky, and the company allegedly hid its woes from investors, leading to the class action lawsuit. Transition To Speciality Components Rocky According to the lawsuit, during the transition period, the company made materially false and/or misleading statements and failed to disclose material adverse facts about operations and its prospects. The lawsuit points specifically to the company misleading investors or failing to disclose to them the operational, logistics and personnel problems that plagued the transition. What’s more, the lawsuit contends Methode did not disclose setbacks at its Monterrey facility during the transition caused by turnover, poor operational decisions, issues with vendors and supply-chain snafus that led to production planning delays, inventory shortages and what the lawsuit calls “botched” execution of the company’s plan. On top of that, the company incurred increased costs and delayed launches as it attempted to retool the plant to produce the specialty components. All told, the lawsuit states the “company’s business, operations and prospects were materially false and misleading and/or lacked a reasonable basis at all relevant times.” The lawsuit explains that this all started showing up in March 2023 when the company’s automotive unit missed sales targets for the third quarter and lowered its full-year 2023 diluted earnings per share guidance, sending the stock down 13% over the course of multiple trading sessions. The bloodletting didn’t stop there, with the company announcing a series of earnings misses in the subsequent quarters which weighed on the stock. Finally, in March 2024 when reporting its third-quarter 2024 results, Methode announced its automotive segment suffered an $11 million loss from operations, prompting it to withdraw its prior guidance citing “operational challenges” at its Monterrey facility. The company told investors its prior guidance should no longer be relied upon. To improve operations, the company announced it was cutting its headcount and discretionary expenses and is unloading non-core assets. On a conference call at the time to discuss results, the company’s new chief executive officer, Avinash Avula, said Methode’s sales for the third quarter were down $21 million year-over-year “entirely [attributable to] our Auto segment.” That drove the stock down about 31%. Comcast announced it will expand its reliable, smart, high-speed, fiber broadband network in both residential and commercial neighborhoods in Northern California’s Marin and Sutter counties. Broadband Leaders Publish Permitting Success Strategies for ISPs and Local Governments

Today, a group of leading broadband organizations published a strategic paper titled “ Permitting Success: Closing the Digital Divide Through Local Broadband Permitting. ” The paper will help local governments and Internet Service Providers (ISPs) navigate broadband network construction challenges and maximize investments in broadband connectivity for all Americans. The Benton Institute for Broadband & Society, in partnership with the Georgetown Law Institute for Technology Law & Policy, the American Association for Public Broadband, Fiber Broadband Association, Brightspeed, and GFiber, wrote the Permitting Success paper. The paper publishes at a critical moment when broadband infrastructure funding is at an all-time high due to the Broadband Equity, Access, and Deployment (BEAD) program—the single largest broadband program in U.S. history. This historic level of funding creates an opportunity to bring high-speed internet access to every community in America and close the digital divide. Historic levels of funding will accelerate broadband network construction, putting enormous pressure on local governments responsible for permitting infrastructure construction within municipal boundaries. These processes take time and resources, and not every government is equipped for the coming wave of construction. This is especially true in rural areas, where municipal resources are lowest and BEAD activity will be highest. Effective and efficient permitting processes are critical for ISPs and local governments to successfully deploy broadband networks that will give every American community modern connectivity. Commerce Finds Dumping; Imposes Duties on Paper Plates from China, Vietnam, and Thailand

The American Paper Plate Coalition (“APPC”), representing the majority of American paper plate production, announced today that the U.S. Department of Commerce (Commerce) has made preliminary affirmative findings in the antidumping (AD) duty portion of investigations involving paper plate imports from China, Vietnam and Thailand, and imposed preliminary AD duties up to 1039.05 percent. The duties will take effect on or about September 6, 2024. These duties will be imposed on top of anti-subsidy duties of up to 313.14 percent on imports from China and up to 237.65 percent on imports from Vietnam, levied in preliminary decisions released in June 2024. Preliminary duties now total up to 1352.19 percent on imports from China, up to 397.44 percent on imports from Vietnam, and up to 73.17 percent on imports from Thailand. “Improper subsidies and other unfair trade practices have hurt our industry, our company, and our workers over the years,” said William P. Biggins, Jr., President and Co-Owner of APPC member Aspen Products, Inc. “The duties announced today are a welcome step in the right direction to get the market back on track. We are grateful to Commerce for its commitment to seeing our trade laws enforced and for giving all players a chance to fairly compete.” Commerce’s preliminary determinations come in response to petitions filed in January by the APPC, requesting AD and CVD investigations into unfairly priced and subsidized imports of paper plates from China, Thailand, and Vietnam. Commerce is expected to announce its final AD determinations in these investigations in early November 2024. The countervailing duty investigations concerning imports from China and Vietnam are ongoing and may lead to higher final CVD rates. “We welcome the competition of a free and fair market – but that’s not what we’ve been experiencing,” said Robert Epstein, President and CEO of APPC member AJM Packaging Corporation. “We look forward to getting back on a level playing field where all products compete on their own merits. Today’s decision is another step in getting us there.” If Commerce makes affirmative final determinations and the U.S. International Trade Commission makes an affirmative final injury determination, Commerce will issue formal AD and CVD orders on imports from all three countries.
