Stifel North Atlantic and ASTRO America Announce a First-of-its-Kind Private Equity Fund Under New DOD-SBA Initiative

ASTRO America

Small Business Administrator Isabel Guzman and National Economic Council Director Lael Brainard announced at a White House event last Wednesday that the partnership between Stifel North Atlantic (NYSE: SF) and ASTRO America is the first recipient of a “Green Light” to raise private capital for an SBIC Critical Technologies (“SBICCT”) fund. Officially called the AM Forward Critical Technologies SBIC, the Fund is actively fundraising and moving forward with the final SBA licensing process. The SBA-DoD SBICCT initiative is the first program under a historic SBA-DoD collaboration, launched by Secretary of Defense Lloyd Austin and SBA Administrator Guzman in December 2022. By pairing private capital with SBA administered leverage, the initiative will support private sector investment in US national security-vital component-level technologies and production processes. The structure will achieve the important mission of bolstering U.S. national security and the Defense Industrial Base without reliance on deficit funding, while supporting American small businesses. “This new Fund is important to both our national security and American competitiveness,” said ASTRO co-founder and President, Neal Orringer. “Not only will it provide essential financial support to small and medium-sized manufacturers, but it will help modernize key supply chains, helping accelerate adoption of technologies such as metal 3D printing that are increasingly important to America’s defense and aerospace industries.” He continued, “We are grateful for the DoD and SBA’s leadership in developing innovative approaches for catalyzing the injection of private capital into critical defense supply chains, at no cost to the taxpayer.” ASTRO America leads the White House’s AM Forward initiative, which includes a compact between the Administration and seven iconic American lead system integrators. The AM Forward member companies identified access to capital as a key barrier to eliminating bottlenecks, modernizing and increasing resiliency within their supply chains, particularly in metal castings and forgings. In early 2023, ASTRO selected Stifel North Atlantic as the financial partner to manage the SBIC Fund based on Stifel’s rich history of support for small and middle market companies and extensive experience managing SBIC Funds. ASTRO will lead the Fund’s Technical Advisory Board. “We are deeply committed to both our unique partnership in the SBICCT fund as well as with the SBA more broadly,” shared Victor Nesi, Stifel Financial Co-President. “The SBA has made remarkable progress in developing innovative ways to reach out, support and nurture the small business ecosystem that is so foundational to our organization. We are also grateful for the thought leadership provided to this project by key AM Forward member Lockheed Martin (NYSE: LMT).” Mike Nitka, Managing Director at Stifel North Atlantic offered, “This fund is a rare opportunity to mix purpose and passion. We are advancing the adoption of mission-ready production technology for the US aerospace and defense supply chain while supporting the journey of emerging US small businesses. Through this revolutionary partnership with the SBA, DoD, ASTRO America, and our anchor investors, we have the opportunity to create jobs and build US manufacturing capacity. I applaud all involved as this is a truly unique non-partisan approach to solving for a universal American need – national security.” During the event, in addition to key Biden-Harris Administration officials from the White House, SBA and DoD, Stifel and ASTRO executives also met with leading investors from the financial industry and executives from major aerospace and defense companies. With committed strategic and financial investors, Stifel North Atlantic and ASTRO expect to complete the final phase of the SBICCT licensing process and execute a first closing on the Fund in the coming months. After the initial closing, the Fund will begin actively investing in small business manufacturers to help strengthen the U.S. aerospace and defense supply chains. The White House readout of the event can be read here and the SBA overview of the event can be read here. More information on the SBA-DoD SBICCT initiative can be found here. Apple Shareholder: Company’s Actions on Human Rights Don’t Match Its Words

NLPC

Ahead of Apple Inc. ’s annual meeting on February 28, National Legal and Policy Center is highlighting a report it has filed with the Securities and Exchange Commission that explains how the iPhone maker’s claims about its respect for human rights fall far short of its real-world engagements and operations. NLPC, a shareholder in Apple, is sponsoring a proposal (No. 8 on Page 97 of the company’s proxy statement ) that asks the company to explain why its actions fail repeatedly to match its statements and policies regarding human rights, especially considering its ongoing pandering to the government of China. The SEC filing builds on the case made in the proposal, with extensive evidence of Apple’s concern for cheap labor and enormous profits, at the expense of the people who buy and make its products under the brutal communist regime. “Over the past ten years, various shareholders have brought at least six different proposals at Apple annual meetings because of its weaknesses when it comes to protecting human rights,” said Paul Chesser, director of NLPC’s Corporate Integrity Project. “Why does the Board of Directors have to keep addressing this issue? Because they only pay lip service to it, while their Chinese government business partners constantly violate standards of respect and decency. The U.S. State Department actually calls it genocide.” NLPC’s proposal and SEC filing note the following examples where Apple fails to follow its own proclamations regarding human rights, rendering them empty: Apple removed the New York Times ’s apps from the App Store in China in 2017, and removed apps including HKmap.live and Quartz from its offerings, during the protests in Hong Kong in 2019; The company severely restricted use of its AirDrop wireless filesharing feature on users’ iPhones during protests against Chairman Xi Jinping’s “zero COVID” policies in late 2022; The Beijing Municipal Bureau of Justice said in January 2024 that it had cracked Apple’s encryption and was able to track senders. According to The Epoch Times, “That allows local police to find ‘several suspects’ who use the iPhone feature to transmit files containing what authorities have referred to as ‘inappropriate remarks,’ according to the agency;” According to Reuters, “Apple has started requiring new apps to show proof of a Chinese government license before their release on its China App Store, joining local rivals that had adopted the policy years earlier to meet tightening state regulations.” Perhaps most telling, the tech giant lobbied against the Uyghur Forced Labor Prevention Act when it was up for consideration in Congress. “Apple wants to avoid this embarrassing issue so badly, that the Board asked the SEC to prevent our proposal from being heard by our fellow shareholders, by claiming that they were already addressing the issue,” Chesser added. “Fortunately – even under a presidential administration cozy with both Big Tech and China – the SEC staff followed the facts instead of political bias, and decided to allow our proposal at the annual meeting. “We look forward to explaining to our fellow shareholders why Apple’s carelessness over human rights presents fiduciary and reputational risks to the company.” ### For more information or to schedule an interview with Paul Chesser, contact Dan Rene at 202-329-8357 or drene@nlpc.org. First-Ever Risk Retention Group for the Cannabis Industry Launches with CLIC RRG

IMA Financial

Cornerstone Risk Solutions, a subsidiary of IMA Financial Group, today announced the launch of CLIC Risk Retention Group Inc. (CLIC RRG), the first and only risk retention group designed specifically for the unique needs of the burgeoning cannabis industry. The member-owned insurance solution is now available to cannabis-related businesses (CRBs) nationwide. “We are very proud to announce the launch of CLIC Risk Retention Group. We are the first and only insurer in the cannabis space that is owned exclusively by its policyholders,” said Chris Payne, founder of CLIC RRG. “This allows us to offer risk management and profit-sharing opportunities that are unavailable anywhere else in the industry.” The product represents a significant step toward comprehensive insurance solutions tailored to the needs of CRBs across the United States. CLIC members gain access to general liability and product liability coverage from anywhere in the nation, which until now has been out of reach in this high-risk, heavily legislated sector. Tris Felix, Managing Director of Cornerstone Risk Solutions, highlighted the product’s significance: “A member-owned insurance solution is a game-changer for CRB owners whose growth has been historically limited by lack of liability coverage. CLIC RRG owners can build — and benefit from — products that meet the industry’s unique needs, leveling the playing field in a competitive and evolving industry.” As the cannabis industry continues to grow, Cornerstone and CLIC RRG are committed to assessing market responses and potentially introducing additional cannabis industry-specific insurance solutions. “Historically, CLIC RRG coverage lines have been profitable for carriers, yet restricted the policyholders,” said IMA Vice President and Cannabis National Practice Leader Michael Hennessey. “By coming together in a risk retention group, cannabis businesses set their own direction and claim their due benefit.” About Cornerstone Risk Solutions and IMA Financial Group Cornerstone Risk Solutions, a subsidiary of IMA Financial Group, specializes in providing innovative insurance and risk management solutions. Oreo Called Out for Backing PFLAG’s Agenda; Supporter of Gender Ideology, Explicit Books in Schools

NLPC

As Oreo prepares to make a splash with its first Super Bowl commercial in 10 years, National Legal and Policy Center today released a 30-second video that delivers stinging criticism of the cookie brand over its longtime partnership with PFLAG. The LGBTQ advocacy group condones gender transition treatments for children as young as three years old, and battles to make sure books with explicit content are allowed in public schools and libraries. You can watch the video here. NLPC owns stock in Oreo’s parent company, Mondelez International, and will sponsor a shareholder proposal at the annual meeting in May. The nonprofit corporate watchdog and shareholder activist initiated its campaign to highlight the cookie-maker’s inappropriate relationship with PFLAG after it noticed the brand’s social media accounts – primarily on X.com (formerly Twitter) – were heavily populated with posts in support of PFLAG’s various narratives, causes and social advocacy. Oreo has promoted various short films, special packaging and fundraisers, utilizing the company’s popularity and resources to advance PFLAG’s agenda. The pro-transgender ideology group lobbies against laws that seek to protect children from indoctrination efforts and so-called “gender affirming” medical treatments before they are mature enough to make such decisions, and also laws that protect kids from so-called “transition care” without their parents’ consent. In October Oreo also co-sponsored PFLAG’s National Convention, where the theme was “ Learning with Love.” The meeting’s first session was titled, “Let Freedom Read! Read with Love to Support Inclusive Books and Education.” PFLAG characterizes its gender ideology indoctrination efforts in schools as a so-called prevention against alleged “censorship.” PFLAG co-sponsors a “banned books” website as part of a coalition that includes the Marxist-led American Library Association. Titles such as “ This Book is Gay,” “ Gender Queer,” “ All Boys Aren’t Blue,” “ Flamer,” and “ Lawn Boy ” are among the stories with explicit content that PFLAG and its allies believe should be easily accessed by kids. “Oreo is a beloved brand with a strong identity and a reputation for connecting with all ages, especially kids, because it’s not only delicious, but fun,” said Paul Chesser, director of NLPC’s Corporate Integrity Project. “Now the cookie’s image-managers are taking it down the same dangerous path that Bud Light, Disney and Target have trodden, which led to extensive brand destruction. We urge Mondelez to terminate Oreo’s controversial relationships before it’s too late.” NLPC’s shareholder proposal asks the Board of Directors “to examine the risks and consequences of the Company’s associations with external organizations, to determine whether they threaten the growth and sustainability of the Company.” “We call upon our fellow shareholders to join us to express concern to the Mondelez board and to Chairman/CEO Dirk van de Put over this treacherous direction in which Oreo has turned,” Chesser added. “If they don’t, perhaps parents and consumers will have something to say about it.” ### For more information or to schedule an interview with Paul Chesser, contact Dan Rene at drene@nlpc.org. National Day of Action Spurs 280,000+ Calls, Emails, and Tweets to Save Critical Broadband Subsidy

Raynor Ave.

Today, the Affordable Broadband Campaign shared the outputs from its national day of action: Americans made more than 280,000 calls, emails, and social media posts to Congress in support of funding for the Affordable Connectivity Program (ACP). The program provides discounts to nearly 23 million American households and needs $7 billion in funding from Congress to ensure people aren’t disconnected from the internet this year. Don’t Disconnect US Day, which took place on January 25, spurred those who care about affordable internet to contact their congressional representatives by phone or email by visiting www.dontdisconnectus.org or partner platforms. The resulting actions from supporters calling for Congress to fund the program included: More than 281,000 emails, calls, and tweets to Congress in one week More than 225,000 emails and calls to Congress in one week More than 114,000 emails and calls to Congress on one day alone (January 25) More than 55,000 posts on social media, including from Sen. Peter Welch (VT) and Rep. Yvette Clark (NY-09) Dozens of op-eds, blogs, and news reports published in a variety of publications, including The Dallas Morning News, News Center Maine, Broadband Breakfast, Benton Institute, and more Don’t Disconnect US also coincided with the date the Federal Communications Commission instructed internet service providers to inform customers that the ACP credit on their bill is ending. One in six U.S. households is currently enrolled in the program, including approximately 960,000 veterans, 3.1 million families with a K-12 student receiving free or reduced-price lunch, and 5 million seniors. “Phones were ringing off the hook in Congressional Offices, plus inboxes were flooded with emails from all 50 states,” said Gigi Sohn, spokesperson for the ‍Affordable Broadband Campaign. “We launched Don’t Disconnect US Day because the situation facing 23 million American households is dire: unless Congress acts now, approximately 50 million Americans could be without their internet. Members of Congress need to listen to their constituents and fund this program now.” A bipartisan, bicameral group of lawmakers has introduced a path forward with the Affordable Connectivity Program Extension Act of 2024, which would provide $7 billion to extend the ACP through the end of the year. The effort is led by Sen. Peter Welch (VT), Sen. J.D. Vance (OH), Sen. Jacky Rosen (NV), Sen. Kevin Cramer (ND), Rep. Yvette D. Clarke (NY-09), Rep. Brian Fitzpatrick (PA-01), Rep. Anthony D’Esposito (NY-04), Rep. Marcus Molinaro (NY-19), and Rep. Mike Lawler (NY-17). Don’t Disconnect US was led by the Affordable Broadband Campaign, a non-profit organization dedicated to ensuring affordable and robust broadband for all. About the Affordable Broadband Campaign The Affordable Broadband Campaign is a group of like-minded nonprofit, industry, civil society, and public interest groups that have come together around one issue: sustainable broadband affordability.
