CLASS ACTION LAWSUIT FILED AGAINST KENVUE INC. (NYSE: KVUE)

Kenvue Inc. (NYSE: KVUE) is down over 25% from its debut earlier this year in May 2023. Formed from the separation of Johnson & Johnson’s Consumer Health business, the company was billed as the world’s largest pure-play consumer health company with annual revenues of over $15 billion from brands such as Tylenol, Neutrogena, Listerine, Aveeno, and Nicorette. While for many the investment thesis has yet to pan out, investors with losses stand to benefit from recent class action litigation seeking to recover investment losses. In November 2021, Johnson & Johnson announced its plan to spin-off its Consumer Health business. Eighteen months later, Kevnue completed its initial public offering and began trading on the New York Stock Exchange under the ticker symbol “KVUE”. The initial public offering generated net proceeds of $4.2 billion and resulted in over 1.9 billion publicly-listed Kenvue shares. Johnson & Johnson, however, retained ownership of approximately 90% of those shares for several months. In August 2023, Johnson & Johnson released the shares to its shareholders through an exchange offer. Kenvue’s initial public offering was underwritten by the largest banks on Wall Street, including the likes of Goldman Sachs, J.P. Morgan, Deutsche Bank, Citigroup, UBS, and so on. Analysts at many of these firms initiated coverage with enthusiasm. J.P. Morgan, for example, initiated at “overweight” with a price target of $29/share ( i.e., $7/share over the $22/share initial public offering price). Their support for the stock was based primarily on an investment thesis that included top-line growth, expanding margins, strong cash flow, and experienced management. Absent from the fanfare was any discussion of phenylephrine and the risks it posed to Kenvue in terms of adverse regulatory action. Phenylephrine is an active ingredient in many over-the-counter decongestant medications. Kenvue uses phenylephrine in a number of its products, including Sudafed PE, Benadryl Allergy Plus Congestion, and Tylenol Sinus + Headache. On September 12, 2023, the Nonprescription Drugs Advisory Committee of the U.S. Food and Drug Administration voted unanimously that phenylephrine was ineffective as a nasal decongestant when taken orally. This finding could result in the removal of several of Kenvue’s products from store shelves and, in turn, a substantial loss of revenue they would have otherwise generated for the company and its shareholders. News of the FDA’s decision prompted an immediate sell-off in Kenvue shares adding to downward pressure already in the market from ongoing acetaminophen litigation. Investors who suffered investment losses because of the announcement are questioning why management did not provide more information in Kenvue’s initial public offering documents about the risks its reliance on phenylephrine had on company revenues. While the FDA has been evaluating the efficacy of phenylephrine for some years, Johnson & Johnson and Kenvue said nothing of it in the registration statement or prospectus they used to take the company public. Kenvue now faces class action litigation for alleged violations of the federal securities laws. The class action complaint alleges that Kenvue and its management neglected to disclose material information concerning the risks arising from phenylephrine and the potential for adverse regulatory action. If the lawsuit is successful, investors could recover investment losses they incurred from their Kenvue shares. For those that paid top-dollar for the stock during the initial public offering, recovering these losses would undoubtedly improve their overall position given where the stock currently trades. Hearing Necessary to “Shed Light” on Repeated Misrepresentations from Those Defending FOX from FCC Petition

Supporters of the Media and Democracy Project’s (MAD) Petition to Deny the broadcast license renewal application for FOX Corp-owned television station FOX 29 Philadelphia (WTXF) submitted joint informal comments to the Federal Communications Commission (FCC) reiterating the evidence in support of holding a hearing into the matter. The supporters sought to address a series of misrepresentations circulating within the media and on Capitol Hill that follow from the same playbook FOX employed to undermine the 2020 election. Among other things, these comments clearly state that MAD’s petition is non-partisan and not about politics, not about speech, does not threaten Philadelphians’ access to Sunday Eagles NFL games, and will establish only an extremely narrow and limited precedent. The filing also called on the FCC to grant MAD’s motion to compel FOX to produce key discovery from recent litigations saying, “not requiring the production of those documents would be tantamount to looking the other way.” The group of seven—including former media veterans and FCC officials—concluded their filing with the following: “Because of Dominion record evidence (including internal emails and texts) the whole world watched Rupert Murdoch, Lachlan Murdoch, and FOX acknowledge the truth that the 2020 election was not stolen, debate the cost in viewers and revenues of reporting that truth to their viewers, and make a business decision to lie to them instead. The whole world also watched the tragic consequences of that business decision. Judge Davis called them out on it. The question is what the Commission will do.” To debunk scare tactics employed by Fox allies who have asserted FCC action against WTFX would deprive Philadelphians of the Eagles’ Sunday games, the commenters provided a declaration from former NFL media executive Frank Hawkins, who explained that in light of longstanding NFL TV contract provisions “[t]his assertion is at best uninformed, and at worst misinformation.” The joint informal comments were filed by Milo Vassallo, MAD’s Executive Director; Alfred Sikes, former Republican Chairman of the FCC; Ervin Duggan, former Democratic Commissioner of the FCC and former President of the Public Broadcasting Service; Jamie Kellner, Founding President of the Fox Broadcasting Company; William Kristol, former Editor of Rupert Murdoch’s The Weekly Standard; William Reyner, former Lead Regulatory and Commercial Counsel for Rupert Murdoch/News Corporation/Fox; and Preston Padden, former Executive of Fox Broadcasting Company and Former Lead Lobbyist for Rupert Murdoch/News Corporation/Fox. New analysis from CLASP shows that the appliances sector has a staggeringly large climate impact, accounting for 39.3% of all energy-related CO2 emissions — roughly equivalent to the combined emissions of China, Europe, and Brazil in 2020. If current trends continue, appliance emissions will overshoot the International Energy Agency’s 2050 net zero targets by at least 9 gigatons. The report, “ Net Zero Heroes: Scaling Efficient Appliances for Climate Change Mitigation, Adaptation & Resilience,” also reveals profound inequities in access to appliances, leaving billions of people more vulnerable to the effects of climate change. For example, at least 1.2 billion people lack access to air conditioners and fans, making it difficult to cope with rising temperatures. Fortunately, the appliances sector offers a time-tested solution for dramatically reducing emissions while bringing life-changing services to more people: energy efficiency. CLASP provides a roadmap for realizing the sector’s mitigation and adaptation potential by rapidly increasing the efficiency of 10 key appliances: the Net Zero Heroes. This group is comprised of air conditioners, comfort fans, electric cookers, electric motors, heat pump space heaters, heat pump water heaters, LED lighting, refrigerator-freezers, solar water pumps, and televisions. Dramatically reducing the energy consumption of the Net Zero Heroes would bring far-reaching benefits. When her husband suddenly passed away in 2012, Sherri made the difficult decision to carry on as she took a more prominent role in the business as the sole owner and operator. Since then, Sherri has continued to build her business and in 2023 she was honored and acknowledged as one of the newest members of the Minuteman Press President’s Club. As she reflects on her accomplishments, Sherri shares her thoughts on 20-plus years and joining the President’s Club, keys to success and longevity, advice to others, and more. Celebrating 20 Years + Joining Minuteman Press President’s Club In 2022, Sherri celebrated 20 years of business ownership for Minuteman Press in Palm Desert. Today, in 2023, Sherri is now recognized as a member of the Minuteman Press International President’s Club for achieving yearly gross sales of over $1 million in 2022. Sherri shares, “Reflecting on our 20 years in business makes me realize that we were fortunate to partner with a good franchisor. Very few small businesses were able to make it through this period without a strong management and operational program to follow. That along with proper training and support from people that have been in the print business have made a huge impact. We will always be thankful for this.” She continues, “In 2023, I was proud to join the Minuteman Press International President’s Club. We have had fairly steady growth over the past 20 years. We started out making $19,000 in our first month after buying an existing business. In 2012, I lost my husband and I personally went from part-time to being the boss. My staff and Minuteman Press local support led by RVP Dan Byers helped me through one of the most difficult times in my life. It was a very foggy year but we made it. In the past few years, we were getting close to the $1 million milestone and we set that as our goal last year. My staff and I worked very hard to make sure we reached that goal. A lot of hard work and determination helped us get there.” When asked about her keys to success and growth, Sherri says, “Our longevity and success is primarily due to our staff and customer service. We have had many referrals through the years without asking. Now that we have been through the last training session, we plan to start asking for referrals through different channels. Other contributing factors to our success are related to our direct & internet marketing along with expanding our services & products over the years. We added wide format in the beginning, then signage, direct mail, and blueprints.” Sherri continues, “There are two other areas worth mentioning that I feel have been successful for us. The first has to do with Google Reviews, which has been a point of focus at regional meetings. At one meeting before the pandemic hit, there were around 50 people in attendance from many franchises in Southern California. We talked about how important Google Reviews are. We shared materials used to get reviews and it really blossomed here. I get a lot of new customers because they did a search and noticed how many good reviews we have.” She further shares, “Next is having good storefront and building signage. My shop is on the main highway that people travel from one end of the valley to the other. You can’t miss my shop because we went big and bold with the signage. I would do more, but the local laws don’t allow it. People always tell me they find me from our signage.” Printing Industry & Community/Franchise Support Sherri shares her insights on the printing industry today, saying, “Printing remains vital to businesses today because it provides a connection that stays with the consumer as opposed to the internet or email. Your printed materials end up in someone’s hand, which can make that lasting impression. How many people swipe left or delete emails without reading them? They will always take the time to look at a business card, postcard or holiday card that they receive.” In Palm Desert, Sherry says, “We are a small set of cities that hold large events and conventions. This brings an increase to our population that is about triple the amount during certain months of the year. Thanks to our community, our key growth areas have included signage, blueprints, convention printing and direct mail.” She adds, “We would not be where we are today without the local franchise support, training and the IT department that Minuteman Press International provides. Oman Government Incorporates Yepic’s Generative AI to Relay Real-Time Election Results to Citizens

In a world-first, the entire elections were conducted online and incorporated AI throughout to increase transparency and engagement London-based Yepic AI’s custom avatars were used as AI presenters to deliver real-time election results throughout the day In a world-first end-to-end online election, the Oman government revealed its Shura election results to citizens in real-time using generative artificial intelligence (AI). The Ministry of Interior partnered with London-based generative AI startup Yepic AI to bring the election results to citizens in a more visual and engaging way. Yepic’s API enables the creation of high-quality videos at scale within minutes and in multiple languages, all made from a single photo. Its technology was used to create custom avatars reflective of the Omani community, who then delivered the election results in real-time to citizens over the course of the day. The elections reporting process is an AI-driven workflow that starts with online voting verified by AI-powered facial recognition technology. The results were then compiled and announced via scripts created by a large language model (LLM) specifically developed for the elections by AiCubes and then read out by Yepic’s AI presenters. The hope is that by serving information to citizens in a more visual, personalised and engaging way, civic participation in the election process will increase. On an hourly basis, 400 unique videos were generated, accessible via an app, and disseminated to each province. In total, Yepic AI produced over 10,000 state-of-the-art videos over the course of the day in six languages, including Arabic, English, French, Spanish, Chinese and Russian.
